Terms of Service

By accessing or using Lab-Easy's Laboratory Information System (LIS) and Radiology Information System (RIS) software and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

Lab-Easy provides cloud-based and on-premise laboratory management software solutions including: - Laboratory Information System (LIS) for managing laboratory operations - Radiology Information System (RIS) for radiology workflow management - Patient data management and reporting - Instrument integration capabilities - Report generation and delivery (WhatsApp/SMS) - NABL compliance features - Technical support and training services

To access certain features of our Services, you must register for an account. You agree to: - Provide accurate, current, and complete information during registration - Maintain and update your account information to keep it accurate - Maintain the security of your account credentials - Accept responsibility for all activities that occur under your account - Notify us immediately of any unauthorized use of your account - Be at least 18 years old or have appropriate authorization to use the Services

You agree not to: - Use the Services for any illegal purpose or in violation of any laws - Transmit any harmful, offensive, or inappropriate content - Attempt to gain unauthorized access to the Services or related systems - Interfere with or disrupt the Services or servers - Use automated systems to access the Services without authorization - Copy, modify, or create derivative works of the Services - Reverse engineer, decompile, or disassemble the Services - Remove or alter any proprietary notices or labels - Use the Services to store or transmit malicious code - Violate any applicable healthcare regulations or patient privacy laws

You are responsible for: - Ensuring compliance with all applicable healthcare regulations, including but not limited to: - The Information Technology Act, 2000 - The Digital Personal Data Protection Act, 2023 - NABL guidelines and standards - Medical Council of India regulations - State and local healthcare regulations - Obtaining necessary patient consents for data processing - Maintaining appropriate security measures for your systems - Ensuring accuracy and completeness of data entered into the Services - Complying with medical record retention requirements

The Services, including all software, content, features, and functionality, are owned by Lab-Easy and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

If you purchase a subscription or license: - Fees are payable in advance as specified in your agreement - All fees are non-refundable except as required by law or as specified in your agreement - We reserve the right to change our pricing with 30 days' notice - Failure to pay may result in suspension or termination of Services - You are responsible for all applicable taxes

We strive to maintain high availability of our Services but do not guarantee: - Uninterrupted or error-free operation - That the Services will meet your specific requirements - That defects will be corrected immediately We reserve the right to: - Modify, suspend, or discontinue any part of the Services - Perform scheduled maintenance with reasonable notice - Limit access to the Services if necessary

You retain ownership of all data you input into the Services. However: - You grant us a license to use, store, and process your data to provide the Services - You are responsible for maintaining backups of your data - We perform regular backups but are not responsible for data loss - Upon termination, you may request data export (subject to applicable fees and timelines)

Either party may terminate this agreement: - By providing written notice as specified in your service agreement - Immediately if the other party breaches these Terms - Upon non-payment of fees Upon termination: - Your right to use the Services will immediately cease - We may delete your account and data after a reasonable retention period - You remain responsible for all fees incurred before termination

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAB-EASY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Lab-Easy, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: - Your use of the Services - Your violation of these Terms - Your violation of any rights of another party - Your violation of applicable laws or regulations

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Bhopal, Madhya Pradesh, India.

We reserve the right to modify these Terms at any time. We will notify you of material changes by: - Posting the updated Terms on our website - Sending an email notification to your registered email address - Providing notice through the Services Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

These Terms, together with any service agreements or addendums, constitute the entire agreement between you and Lab-Easy regarding the Services and supersede all prior agreements and understandings.
